These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Impersonas Inc., a Delaware corporation (“Impersonas,” “we,” “us,” or “our”), governing your access to and use of our website, related pages, and any online forms, waitlists, or other submission mechanisms made available through impersonas.com (the “Website”), in addition to any platform, application, portal, or interface operated by Impersonas (the “Platform”),
(collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you must immediately discontinue use of the Services.
1. PURPOSE OF THE SERVICES
The Services provide:- Information about Impersonas Inc. and its technology
- Tools to express interest in joining or collaborating with our platform by submitting waitlist or contact forms
- Promotional material, research insights, and communications relevant to our activities in digital human technologies, entertainment, and media innovation
- Access to browse digital characters (each, an “impersona”, and collectively “impersonas”)
- The ability to request or obtain licenses for certain impersonas
- Tools and interfaces to interact with Impersonas’ licensing ecosystem
Your use of the Services is limited to lawful, authorized purposes only.
2. ELIGIBILITY
Use of the Services is intended for individuals who are at least eighteen (18) years of age or who have obtained verifiable parental or guardian consent. By submitting any information, you represent that you are legally capable of entering into binding agreements and, if applicable, have obtained such consent. If acting on behalf of a company, you represent and warrant that you are an authorized representative, and have the authority to bind it to these Terms and any other agreements entered into in connection herewith.3. USER SUBMISSIONS AND REPRESENTATIONS
When submitting information through the Services, including via our waitlist, licensing, or contact forms (collectively, “Submissions”), you represent and warrant that:- All information you provide is accurate, complete, and truthful to the best of your knowledge.
- You have obtained all necessary permissions, approvals, and authorizations to share any information, media, or materials submitted, including work samples or project descriptions that may involve client-owned intellectual property.
- You grant Impersonas Inc. a non-exclusive, royalty-free, worldwide license to store, review, and use the information you submit for legitimate business purposes, including internal evaluation, marketing, outreach, investor communications, promotional use, and research insights.
Impersonas reserves the right, at its sole discretion, to remove or disregard any Submission that is incomplete, misleading, or deemed inappropriate.
4. COLLECTION AND USE OF DATA
Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, and safeguard your personal information. By using the Services or submitting information, you acknowledge and agree to the collection and use of your data in accordance with that Policy.5. INTELLECTUAL PROPERTY RIGHTS (PLATFORM + WEBSITE)
All materials on the Website and Platform, including but not limited to text, graphics, logos, icons, and design elements, are the property of Impersonas Inc. or its licensors and are protected under applicable intellectual property laws. Certain third-party names, logos, and trademarks displayed on the Website are the property of their respective owners and are used for identification and reference purposes only.Impersonas takes reasonable steps to ensure that it has obtained the appropriate rights, permissions, or approvals to use any third-party intellectual property displayed on the Website or Platform. If you believe that any content appearing on the Website or Platform infringes upon your intellectual property rights or has been used without proper authorization, you may contact info@impersonas.com with a detailed description of your claim, and Impersonas will review and, where appropriate, take corrective action, including removal of the relevant content.
You may not copy, reproduce, modify, distribute, or create derivative works from any portion of the Website or Platform without prior written consent from Impersonas or the respective rights holder.
You are granted a limited, revocable, non-exclusive license to access and use the Services for lawful purposes consistent with these Terms.
6. ACCOUNTS AND PLATFORM ACCESS
The Services may be accessed at different levels depending on the features being used.Certain features of the Platform may be accessed without creating an account. However, to access specific functionalities, including but not limited to requesting or obtaining licenses, you may be required to submit certain information, including identifying and contact details.
Access to advanced features of the Platform, including full licensing capabilities and Digital Character Portals, may require the creation of an account (an “Account”). Accounts are provisioned exclusively by Impersonas, and you may not create an Account independently without prior authorization from Impersonas.
As a condition to being granted an Account, you may be required to enter into additional agreements, including but not limited to Impersonas’ Master Digital Character License Agreement and any related documentation governing the use of Digital Characters and associated rights.
If you are granted an Account, you agree to:
- Provide accurate, complete, and up-to-date information;
- Maintain the strict confidentiality of your login credentials and access details;
- Be fully responsible for all activities conducted under your Account;
- Ensure that any employees, agents, contractors, or other individuals granted access to your Account (collectively, “Authorized Users”) comply with these Terms and any applicable agreements, including any licensing agreements you have entered into with Impersonas.
You acknowledge and agree that:
- You are solely responsible for any use or misuse of your Account by Authorized Users;
- Any act or omission by an Authorized User shall be deemed an act or omission by you;
- You must take reasonable steps to prevent unauthorized access, sharing, or misuse of your Account.
Impersonas reserves the right, at its sole discretion, to:
- Grant, deny, suspend, restrict, or terminate access to any Account at any time;
- Take enforcement action, including legal action where appropriate, in response to any misuse of the Platform, breach of these Terms, or violation of any applicable agreement.
Failure to comply with this Section may result in immediate suspension or termination of your Account, without prejudice to any other rights or remedies available to Impersonas.
7. DIGITAL CHARACTERS AND PLATFORM MODEL
7.1 Access to Digital Characters. Impersonas provides access to digital characters, or impersonas, through its Platform. These impersonas may include:-
Fictional characters developed by Impersonas (e.g. Yazmin, Syk...); and
- Digital representations derived from or based on real individuals (”Impersonas Talent”)
All impersonas are proprietary, controlled intellectual property assets of Impersonas and/or its licensors. Access to an impersona is granted strictly on a limited license basis, and does not guarantee a continued access to that impersona, or access to any other impersona. No ownership rights are ever transferred to any user under any circumstance.
The Platform enables users to browse available impersonas and, where applicable, submit requests to license them. However:
- Browsing or accessing impersonas does not constitute a license;
- No rights are granted unless and until explicitly approved by Impersonas through a valid license agreement or approved request.
7.2 License-Based Access. Any use of an impersona is governed exclusively by a valid license issued by Impersonas.
Each license:
- Is limited, non-exclusive, and revocable;
- Is granted for a specific scope of use, which may include:
(i) Defined time periods or activation windows
(ii) Approved media formats or channels
(iii) Specified industries or use cases
(iv) Geographical territories
(v) Any other restrictions outlined in the license
The scope of each license is defined within the applicable license agreement or approved request.
Any use of an impersona outside the defined scope, or without an approved license, shall be considered unauthorized use and may constitute a material breach of these Terms and applicable agreements.
7.3 Request and Approval Model. For certain impersonas, users may submit requests to obtain a license through the Platform.
As reflected in Impersonas’ licensing framework:
- Requests may be reviewed by Impersonas and, where applicable, the underlying Impersonas Talent;
- Requests may be accepted, rejected, or modified;
- Final approval is required from Impersonas;
- No request is binding or effective unless formally approved.
Impersonas retains full discretion over whether any license is granted.
7.4 Account-Based Access and Expanded Licensing. Users with approved Accounts may gain access to additional impersonas and licensing capabilities, including impersonas based on real individuals.
Such access is subject to additional agreements, including the Master Digital Character License Agreement, which governs:
- The process of submitting and approving licensing requests;
- The scope and limitations of exploitation rights;
- Compliance obligations and usage restrictions;
- Intellectual property protections and reserved rights.
Users acknowledge that:
- Impersonas based on real individuals involve underlying likeness and identity rights;
- Misuse of such impersonas may result in legal liability, including claims by Impersonas, its licensors, or the applicable Impersonas Talent.
7.5 No Ownership; Reserved Rights. Under no circumstances does any access to the Platform or any impersona grant:
- Ownership rights;
- Transfer of intellectual property;
- Any rights beyond those explicitly granted in an approved license.
All rights not expressly granted are fully reserved by Impersonas.
7.6 Governing Licensing Framework. Use of impersonas is governed collectively by:
- These Terms of Use;
- The Master Digital Character License Agreement (where applicable); and
- Any individual license agreements or approved requests issued by Impersonas.
Together, these documents constitute the complete and controlling framework governing all use of impersonas on the Platform.
8. INTELLECTUAL PROPERTY RIGHTS (DIGITAL ASSETS)
All impersonas and their associated digital assets and their underlying technology (collectively, the “Asset IP”), are owned by Impersonas Inc. and/or its licensors, including but not limited to Impersonas Talent and their respective rights holders.Nothing in these Terms or through your use of the Services shall be construed as granting you any ownership rights in or to any impersona, asset, or underlying intellectual property. All rights are granted, if at all, strictly on a limited, revocable basis, and only to the extent expressly set forth in an approved license agreement.
Without limiting the foregoing, you agree that you shall not, and shall not permit any third party to:
- Copy, reproduce, duplicate, or otherwise replicate any impersona or associated assets, in whole or in part, except as expressly permitted under a valid license;
- Distribute, publish, transfer, sublicense, sell, or otherwise make any impersona or asset available to any third party in any format that enables access, reuse, or extraction;
- Reverse engineer, deconstruct, disassemble, or attempt to extract any underlying data, models, files, or components used to create or represent any impersona;
- Use any impersona or asset to create derivative datasets, replicas, or competing digital characters;
- Remove, alter, or obscure any proprietary notices, credits, or identifiers associated with any impersona or asset;
- Claim, imply, or assert any ownership, authorship, or proprietary rights over any impersona, asset, or underlying character identity.
You acknowledge and agree that:
- Certain impersonas may be based on or derived from real individuals and are subject to underlying likeness, publicity, and intellectual property rights owned or controlled by third parties;
- Any unauthorized use of impersonas or assets may result in claims not only by Impersonas, but also by such third-party rights holders.
All rights not expressly granted to you are fully reserved by Impersonas and its licensors.
Any violation of this Section shall constitute a material breach of these Terms and may result in immediate suspension or termination of access, in addition to any legal remedies available.
9. PROHIBITED USES AND AI RESTRICTIONS
Impersonas and all associated assets are protected intellectual property and may not be used for purposes of data extraction, model training, or replication.Accordingly, you may not, and may not permit any third party to:
- Use any impersona, asset, or Licensed Content for the explicit purpose of training, fine-tuning, or otherwise developing any artificial intelligence, machine learning model, neural network, or generative system, unless expressly permitted in writing by Impersonas in the applicable license agreement;
- Compile, aggregate, or incorporate any impersona or asset into any dataset, training corpus, or data pipeline intended for machine learning or analysis, unless expressly permitted in writing by Impersonas in the applicable license agreement;
- Use impersonas or assets to replicate, simulate, or recreate any impersona or similar character through automated systems or model-based generation;
- Input, upload, or expose impersonas or assets to any system where the primary purpose is data ingestion, model training, or dataset enrichment;
- Use impersonas or assets in connection with any technology designed to extract underlying features, embeddings, or representations for reuse.
Notwithstanding the foregoing, you may use third-party creative tools, including AI-assisted tools, solely for the purpose of producing permitted content, provided that:
- Your use is intended for content creation and output generation, and not for training, replication, or dataset creation;
- You exercise reasonable care and diligence in selecting and using such tools;
- You do not knowingly use tools or platforms that retain, repurpose, or train on uploaded data in a manner that would conflict with these Terms.
You acknowledge and agree that:
- Use of third-party tools is undertaken at your own risk;
- Impersonas has no control over how such tools process or store data;
- You are solely responsible for ensuring that your use of any tools complies with these Terms.
Any use of impersonas or assets in violation of this Section shall constitute a material breach of these Terms and may result in immediate suspension or termination of access, in addition to any legal remedies available to Impersonas and its licensors.
In addition to the above, you agree not to:
- Use the Services for any fraudulent, deceptive, or unlawful purpose;
- Submit false or misleading information;
- Attempt to bypass platform controls;
- Interfere with the operation or security of the Website or Platform or attempt unauthorized access to our systems; or
- Collect or harvest information from other users.
Impersonas reserves the right to suspend or restrict access to any user who violates these Terms or engages in conduct harmful to the integrity of the Services.
10. DISCLAIMERS
The Services and all information provided therein are made available on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied.Impersonas does not warrant that the Website or Platform will be uninterrupted, secure, or error-free, nor does it make any guarantees regarding the accuracy or reliability of content. You use the Services at your own risk.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Impersonas Inc., its affiliates, officers, employees, and representatives shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Services or any Submissions made through it, or for indirect or consequential damages, loss of data, loss of revenue, or loss of opportunity arising from or related to your use of the Services.If liability cannot be excluded under applicable law, it shall be limited to the lesser of (a) the total amount paid by you, if any, to use the Services, or (b) one hundred U.S. dollars ($100).
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Impersonas Inc., its officers, directors, employees, and affiliates from any and all claims, losses, liabilities, damages, or expenses (including reasonable attorney’s fees) arising out of your Submissions, your use of the Services, or any breach of these Terms.13. THIRD-PARTY SERVICES
The Services may contain links or integrations to third-party services, such as Formspree and Google Analytics. Impersonas does not control and is not responsible for the practices, policies, or content of such third parties. Your interactions with any third-party service are solely at your own risk.14. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under or relating to these Terms shall be brought exclusively in the courts of Delaware, except that California users may bring actions in the courts of that state.You consent to the jurisdiction and venue of such courts for all legal proceedings.
15. MODIFICATIONS TO THE TERMS
Impersonas reserves the right to modify or update these Terms at any time without prior notice. The revised Terms will be effective immediately upon posting on the Website, the Platform, or both, and your continued use shall constitute acceptance of the updated version.16. CONTACT
